Overview

TDS is currently seeking a Paralegal in Corporate Commercial. This position will primarily support the efforts of the Corporate Commercial lawyers at the firm, assisting with the completion of Financing documents, Securities opinions, Limited Partnership matters and providing subject-matter expertise in corporate searches, filings, and documents.

Key Responsibilities

Preparing all documents related to:

  • Corporate/Commercial Opinions (Limited Partnership and PPSA-related)
  • Due diligence searches (asset/entity-related) and due diligence reports
  • Personal Property Security Act searches, registrations, opinions, and reporting
  • extra-provincial and business name registration documents for filing including NWTPA registrations and preparation of registration of limited partnerships and change documents.
  • loan security documents
  • Incorporation and organization, amendment to articles, continuance, dissolution, and revival of Manitoba and CBCA corporations
  • Registration, supplementary registration, cancellation and restoration of CBCA and other extra-provincial corporations in Manitoba
  • Registration, renewal, change of registrants, change of limited partnership and dissolution of business names and limited partnerships in Manitoba.
  • Resolutions changing directors, officers, registered office address, accountants, and financial year end; issuing, transferring, and redeeming shares.

To be successful in this role, you must be extremely flexible, highly motivated, with a high degree of accuracy and attention to detail. The ability to work effectively, both independently and as part of a team, with a mature, positive attitude and strong work ethic in a fast-paced, professional environment, is a must. To succeed as a paralegal in this role, you must also possess the ability to prioritize, have superior organizational skills, and the ability to meet deadlines.
